Certification Agreement

1. Agreement Overview

This Certification Agreement ("Agreement") is entered into between the Center for AI Behavioral Standards ("CAIBS"), a program of the Disabled Veterans Whole Health Association ("DVWHA") operated by Weerussh LLC, and the entity or individual ("Applicant" or "Certified Entity") seeking or holding CAIBS certification. By submitting an AI tool for evaluation, requesting a certification badge, or displaying a CAIBS certification mark, you agree to be bound by this Agreement.

2. Certification Process

The CAIBS certification process consists of the following stages:

  • Submission: The Applicant submits their AI tool through the CAIBS platform with complete and accurate information about the tool's capabilities, use cases, and behavioral characteristics.
  • Evaluation: CAIBS evaluates the tool using the B.I.T. Framework™ across five behavioral dimensions: Bias & Fairness, Interaction Quality, Transparency, Safety & Harm Prevention, and Accountability.
  • Rating: The tool receives a score (0–25) and is assigned a certification tier (CAIBS-1 through CAIBS-5).
  • Badge Issuance: Upon payment of the applicable certification fee, the Certified Entity receives their official badge assets and verification URL.

3. Certification Tiers & Fees

4. Badge License Grant

Upon successful certification and payment, CAIBS grants the Certified Entity a limited, non-exclusive, non-transferable, revocable license to display the assigned certification badge for the duration of the certification period (12 months). This license is subject to compliance with the CAIBS Trademark Policy and Badge Display Guidelines.

5. Obligations of Certified Entity

The Certified Entity agrees to:

  • Maintain the standards that led to certification throughout the certification period
  • Promptly notify CAIBS of any material changes to the certified AI tool
  • Display the badge only in accordance with the Trademark Policy and Display Guidelines
  • Cooperate with any re-evaluation or audit requested by CAIBS
  • Not misrepresent the scope, tier, or meaning of the certification
  • Remove all badge displays within 30 days of certification expiration or revocation
  • Not transfer, sublicense, or assign the certification or badge to any third party

6. Revocation & Suspension

CAIBS reserves the right to suspend or revoke certification at any time if:

  • The Certified Entity fails to maintain the standards required for their tier
  • The Certified Entity violates the Trademark Policy or this Agreement
  • The certified AI tool undergoes material changes that affect its behavioral rating
  • The Certified Entity provides false or misleading information
  • The Certified Entity fails to pay renewal fees when due

In the event of revocation, no refund of certification fees will be provided, and the Certified Entity must immediately cease all use of CAIBS certification marks.

7. Renewal

Certification is valid for 12 months from the date of issuance. Renewal requires: (a) payment of the applicable renewal fee; (b) a re-evaluation of the certified AI tool; and (c) continued compliance with CAIBS standards. CAIBS will send renewal reminders 60 days and 30 days before expiration.

8. Limitation of Liability

CAIBS certification does not constitute a guarantee of the AI tool's performance, safety, or fitness for any particular purpose. CAIBS shall not be liable for any damages arising from the Certified Entity's reliance on the certification or from any third party's reliance on the certification badge.

9. Dispute Resolution

Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where Weerussh LLC is organized. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
